The legal agreement governing your use of our platform and services

1. Platform Usage and Acceptance

By accessing and using PoomAt's platform, you agree to be bound by these Terms of Service. These terms constitute a legally binding agreement between you and PoomAt, governing your use of our platform and services.

Important Notice: Please read these terms carefully before using our platform. If you do not agree with any part of these terms, you must not use our services.

2. Marketplace Model & Roles

PoomAt is a marketplace that connects clients with independent service providers ("helpers"). We do not perform services ourselves. When a client engages a helper, the contract for services is between the client and the helper. PoomAt is not a party to that contract.

  • Clients: individuals or organizations seeking services through the platform.
  • Helpers: independent contractors or business entities who offer and perform services.
  • PoomAt: provides the platform, tools, and payment infrastructure.

3. User Obligations and Conduct

3.1 Account Responsibilities

  • Provide accurate, current information and keep it updated
  • Protect account credentials; you are responsible for activity under your account
  • Notify us immediately of suspected unauthorized access
  • Use the platform only for lawful purposes

3.2 Prohibited Activities

  • Fraud, misrepresentation, or posting illegal services
  • Harassment, discrimination, or abusive conduct
  • Violations of applicable laws or third-party rights
  • Interference with platform operations or security
  • Unauthorized scraping or data extraction

4. Helper Eligibility, Verification, and Approval

  • Helpers must be at least 18 years old and legally able to work where services are performed.
  • Helper approval is gated on completion of identity verification and, if requested by an admin, a safety screening/background check.
  • Identity verification and safety screening are performed by vetted third-party providers. We receive status results, not your full documents.
  • We may request professional certifications or insurance where applicable to specific services.
  • We may revoke or suspend approval if verification fails, expires, or concerns arise about safety, fraud, or policy violations.

5. Service Quality and Standards

5.1 Helper Standards

  • Maintain required licenses and certifications
  • Provide services professionally and competently
  • Adhere to safety and quality standards
  • Maintain appropriate insurance coverage
  • Follow platform policies and guidelines

5.2 Client Responsibilities

  • Provide accurate service requirements
  • Ensure safe work environment
  • Communicate professionally with helpers
  • Pay for services as agreed
  • Provide honest and fair feedback

6. Intellectual Property

All platform content, features, and functionality are owned by PoomAt and protected by international copyright, trademark, and other intellectual property laws.

  • Platform content may not be copied or distributed
  • User-generated content remains user property
  • Limited license granted for platform use
  • Trademark and brand protection

6.1 User Content License

By posting content (e.g., service descriptions, photos, reviews) on PoomAt, you grant us a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform that content in connection with the service and PoomAt’s business (including for marketing and promotion).

7. Payments, Payouts, and Fees

Payments are processed by a secure third-party payment provider. PoomAt does not store full card numbers. By using the platform, you authorize charges and agree to applicable fees.

7.1 Client Payments

  • Clients are charged when a booking is confirmed, when a recurring billing cycle is due, or as otherwise presented at checkout.
  • For marketplace services, payment may be processed through Stripe Connect and may be routed to a helper or company connected account, while withdrawal eligibility remains subject to completion confirmation, dispute review, account verification, and payment processor rules.

7.2 Helper Payouts

  • Helpers and companies receive only the net service amount after the applicable PoomAt commission, achievement-based commission adjustments, refunds, chargebacks, reimbursements, and any other disclosed adjustments.
  • Amounts associated with a service are not eligible for bank payout until the service is completed and PoomAt marks the amount as released in the payout ledger. A pending Stripe balance is not the same as a released payout balance.
  • Recurring services may be billed by cycle or occurrence. Each cycle or occurrence may have its own completion confirmation, dispute window, and payout release timing.
  • PoomAt is not a bank, trustee, fiduciary, or escrow agent. Stripe provides payment processing and connected account services. Payout availability may be delayed or restricted by Stripe, card networks, banks, law, risk review, disputes, refunds, or account verification requirements.
  • Helpers are responsible for taxes and reporting income as required by law, except where PoomAt is required by applicable marketplace facilitator or tax collection rules to collect and remit certain indirect taxes.

7.3 Platform & Processing Fees

  • Client-facing platform charges, helper-facing commission rates, payment processing costs, taxes, and optional payout fees are separate concepts and may be calculated differently.
  • Helper commission rates may vary by eligibility, achievement rewards, account status, promotion, or service type, and the applicable rate is generally snapshotted at the time of payment or billing cycle.
  • Fees are non-refundable unless required by law or explicitly stated otherwise.

7.4 Taxes

  • Helpers are responsible for determining and fulfilling their obligations under applicable laws to report, collect, remit, or include in their price any applicable income taxes and, where not collected by PoomAt, any applicable indirect sales taxes.
  • Where required or elected under applicable marketplace facilitator, platform operator, or tax collection rules, PoomAt may calculate, collect, report, and remit GST/HST/PST or similar taxes connected to marketplace transactions. Tax treatment may vary by province, service type, helper status, and transaction details.

8. Liability and Disclaimers

Limitation of Liability: The platform operator is not liable for:

  • Quality of third-party services
  • User disputes or conflicts
  • Indirect or consequential damages
  • Service interruptions or technical issues

Our platform is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee that the platform will be uninterrupted, secure, or error-free.

9. Dispute Resolution

All disputes shall be resolved through:

  • Platform mediation process
  • Binding arbitration if necessary
  • Applicable Canadian law
  • Jurisdiction of Canadian courts

10. Termination

PoomAt reserves the right to:

  • Suspend or terminate accounts
  • Modify or discontinue services
  • Remove content or information
  • Block access to the platform

Termination may occur for violations of these Terms, illegal activities, or at our discretion. Upon termination, your right to use the platform will immediately cease.

11. Indemnification

You agree to indemnify, defend, and hold harmless PoomAt and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal and accounting fees, arising out of or in any way connected with:

  • Your access to or use of the platform
  • Your violation of these Terms
  • Your violation of any third-party right
  • Your conduct in connection with the platform

12. Changes to Terms

We may update our Terms of Service from time to time. We will notify you of any changes by posting the new Terms on this page and updating the "Last updated" date.

Terms Updates: These terms are effective as of September 16, 2025 and may be updated periodically. Continued use of the platform after changes constitutes acceptance of modified terms.

13. Canada-wide and Quebec-specific Terms

13.1 Governing Law & Jurisdiction (Canada)

These Terms are governed by the laws of the Province of Ontario and the laws of Canada applicable therein, without regard to conflict-of-laws rules. You agree to the exclusive jurisdiction of the courts located in Toronto, Ontario, unless mandatory laws of your province or territory (such as Quebec) require otherwise.

13.2 Quebec Consumers

  • Where you reside in Quebec or services occur in Quebec, these Terms are governed by the laws of Quebec and the laws of Canada applicable therein.
  • To the extent required by Quebec’s Consumer Protection Act, limitations of liability, warranty disclaimers, arbitration or class action waivers in these Terms do not limit your non-waivable rights.
  • A French version of these Terms is available upon request. If a French version is provided, it will prevail in case of discrepancy for Quebec consumers.
  • Distance contract rules and specific cancellation/return rights under Quebec law may apply to certain transactions; we comply with such mandatory rules.
